ARTICLE I

Rescission

All former By-laws of the Association of Philadelphia Area Figure Skating Clubs are hereby rescinded.

ARTICLE II

Name

The name of this organization will be The Association of Philadelphia Area Figure Skating Clubs. For all purposes, this name may be abbreviated to read APAFSC.

ARTICLE III

Purposes

The purpose of the APAFSC will be to encourage and advance figure skating on ice and in all its forms; and to govern the conduct of the annual Philadelphia Area Figure Skating Championships.

ARTICLE IV

Membership

Any skating club located in the Philadelphia area which is a member club of U.S. Figure Skating iseligible for membership in the APAFSC. The Philadelphia Area is defined as the area encompassed within a circle having a radius of hundred ten (110) miles, and the center of which is City Hall Philadelphia, PA. and in the South or North Atlantic Region as defined by U.S. Figure Skating

ARTICLE V

Government

The government of the APAFSC will be vested in an Area Council consisting of the elected officers of the Association and the delegates appointed by the Member Clubs. The Area Council may adopt, publish, enforce and change the rules and regulations consistent with the provisions of these By-Laws for the regulation and carrying out of the purposes of the APAFSC.

ARTICLE VI

Delegates to the Area Council

(A) Delegates to the Area Council must be eligible as defined by the rules of U.S. Figure Skating and must be at least 18 years of age. They will be appointed annually as of April 1, and hold office for one year or until their successors are appointed and take office. (B) Each Member Club by the action of its duly constituted governing body will appoint from its membership a number of delegates in proportion to the total number of persons registered by such Member Club with U.S. Figure Skating as of January 1. The following table will be used to determine the number of delegates for each Member Club, and notification will be given to the secretary of APAFSC of such appointment by a letter signed by an officer of such Member Club.

(C) Any Member Club may fill a vacancy among its delegates by notifying the Secretary of the appointment.

(D) Each delegate will have one vote in the Area Council. The entire number of votes to which the delegates of a Member Club are entitled may be cast by one or more of its delegates in such a manner and in such proportion as may be determined by such club.

(E) Officers must be the appointed delegates of their Home Club in order to vote.

ARTICLE VII

Officers

(A) The officers of the APAFSC will be President, Vice President, Secretary and Treasurer. The Area Council may also elect one or more Assistant Secretaries and/or an Assistant Treasurer. Such officers will be elected by a majority vote of the delegates present at the Annual Meeting of the Area Council, and will hold office for the ensuing year or until their successors have been elected and assume office.

(B) The President will preside at all meetings of the Area Council and will, with the Secretary, sign all agreements and contracts made by the APAFSC.

(C) The Vice President may perform the duties of the President in his or her absence or inability to act.

(D) The Secretary will keep records of the APAFSC and of all meetings of the Area Council; will issue notices of all meetings of the Area Council; will keep a record of all the names and addresses of all Member Clubs; and will with the President or Vice President sign all agreements and contacts made by the APAFSC. Any Assistant Secretary may perform the duties of the Secretary in his or her absence or inability to act.

(E) The Treasurer will keep correct and full accounts of the receipts and expenses of the APAFSC in such depositories as may by selected by the Area Council. The Treasurer will disperse funds of the APAFSC and will render to the President or the Area Council whenever requested by either of them, an account of all financial transactions. An Assistant Treasurer may perform the duties of the Treasurer in his or her absence or inability to act.

ARTICLE VIII

Committees

(A) There will be a Standing Committee on Competitions, whose duty will be to act as an Advisory Committee to the Annual Philadelphia Area Figure Skating Championships. There will also be a Trophy and Medal Committee whose duty it will be to oversee the trophies of the APAFSC and to be responsible for the medals for the Annual Philadelphia Area Figure Skating Championships. The Chairman will be a member of the Competition Committee. There will be a Nominating Committee of at least three members. The Area Council may from time to time designate other standing committees and specify the powers and duties there of.

(B) The Chairman and members of such Committees will be appointed by the President, to hold office for the ensuing year or until their successors are named and assume office.

ARTICLE IX

Rules and Regulations

The Rules and Regulations of the APAFSC will consist of such rules and regulations as may from time to time be adopted by the Area Council. No such rules and regulations will become effective until thirty (30) days after written copies thereof have been distributed to all Member Clubs.

ARTICLE X

Dues

(A) The annual dues of Member Clubs will be for the fiscal year commencing July 1st of each year, and will be based on the total number of persons registered with U.S. Figure Skating as of January 1st of that year, and will be based as follows:

(B) Said annual dues will be payable by June 30th of each year.

(C) The amount of annual dues may be changed by the Area Council at the Annual Meeting. The changes will not be effective until thirty (30) days after written notice of such changes have been given to all Member clubs.

ARTICLE XI

Fiscal Year

The fiscal year of the APAFSC will begin on July 1st of each year and end on June 30th
of the following year.

ARTICLE XII

Meetings of the Area Council

(A) The Annual Meeting of the Area Council will be held during the months of May or June, with the time and place appointed by the Annual Meeting, or in the absence of such appointment, at the date, time and place selected by the President. The announcement of the date and place of each such meeting will be sent to all Member Clubs at least 20 days prior to the date of the meeting.

(B) Special Meetings of the Area Council may be called at any time upon the written request of at least three Member Clubs, or of the President, or of a majority of the Area Council.

(C) Written notice of a Special Meeting of the Area Council will be sent to all Member Clubs at least twenty (20) days before the date of the meeting stating the date, time and place of the meeting and the general character of the business to be transacted thereat.

ARTICLE XIII

Resignations

Any Member Club may resign from the APAFSC after payment of all dues and other fees
then due, including those for the current fiscal year, by giving written notice of resignation to the Secretary.

ARTICLE XIV

Loss of Membership Privileges

Any Member Club which fails to make payment of current dues by June 30th next succeeding
the due date will lose all privileges of membership. Payment of the delinquent dues at any time
prior to the date of the next annual meeting of the Area Council will restore the privileges
of membership.

ARTICLE XV

Dissolution

In the event of the dissolution of the APAFSC, all of its assets of property will be distributed
or sold, and the proceeds thereof distributed to the Member Clubs in proportion to the annual
dues required by each for the fiscal year which the dissolution takes place.

ARTICLE XVI

Amendments

Amendments to these By-Laws may be acted upon at any Annual Meeting or Special Meeting
of the Area Council, provided the notice of the meeting includes the proposed amendments.

necessary for the adoption of any amendments.
